CallRoom Pro Master Subscription Agreement

Version 1.2 (2026-10-10) · Stephens Quantum LLC, doing business as CallRoom Pro, a Florida limited liability company

1. Parties and what this agreement is

This Master Subscription Agreement (the "Agreement") is between Stephens Quantum LLC, doing business as CallRoom Pro, a Florida limited liability company ("CallRoom Pro", "we", "us") and the business named in the signature block below (the "Client", "you"). It takes effect when you sign it electronically (the "Effective Date").

It covers your use of CallRoom Pro, our software for running a phone sales room and a public company website, including your room, your website, any additional website you add, and any support or setup service we perform for you (together, the "Service").

This Agreement includes, and you also agree to, our Terms of Service, Acceptable Use Policy, Privacy Policy and Data Processing Addendum as published on callroompro.com and updated from time to time (the "Policies"). If the Policies and this Agreement conflict, this Agreement controls.

2. Authority of the person signing

The individual who signs for the Client confirms that they are an owner, officer or other person authorised to bind the Client to this Agreement, that the company details they typed are correct, and that they are at least 18 years old.

If the individual does not have that authority, they accept personal responsibility for the Client's obligations under this Agreement to the extent permitted by law.

3. The Service is software only

CallRoom Pro is software. We provide tools; you run your business. We are not a law firm, compliance consultant, accountant, financial adviser, payment processor, merchant of record, licensed travel or timeshare seller, broker or telemarketer, and nothing we provide, say, show, template or suggest is legal, compliance, tax, financial or professional advice.

Features such as do-not-call tools, consent wording, audit logs, contract templates, signing records and evidence packets are aids only. Using them does not make you compliant with any law and does not guarantee the outcome of any dispute, chargeback, audit or claim. You are responsible for getting your own professional advice.

We may improve, change or retire features over time. We will not materially reduce the core functionality of the Service during a period you have already paid for.

4. Subscription, pricing and trial

Plan and price. The Service is one plan at $500 per week, or $1,950 per month (10% off), $5,525 per quarter (15% off), $10,400 per 26 weeks (20% off) or $19,500 per year (25% off), plus any applicable taxes. Rooms include unlimited users and one company website. Each additional company website is $99 per week (or the equivalent discounted price on your billing interval). Current prices are on callroompro.com/pricing.

Free trial. New rooms receive a free 7-day trial. The trial is your evaluation period: it is the time you have to decide whether the Service is right for you before your first payment. You do not need to add a card to start the trial.

No long-term contract. There is no minimum term. The subscription renews automatically for successive periods of the billing interval you chose until you cancel.

Cancel any time. You may cancel from the Billing page of your room at any time. Cancellation takes effect at the end of the period you have already paid for. You keep access until then, and you will not be charged again.

Changing your plan. You can change your plan yourself on the Billing page of your room. Moving to a longer interval takes effect immediately, and the unused part of your current period is applied to the new price as a credit toward that payment only, never as a refund, so you pay only the difference. Moving to a shorter interval takes effect at the end of the period you have already paid for, with no refund or credit. Adding an additional website takes effect immediately and you pay the prorated amount for the rest of your current period. Removing an additional website takes effect at the end of your current period, with no refund or credit, and the website is taken offline then (its data is kept under the retention terms below). If you cancel, you may reactivate before the period ends. Each change is recorded in your room's audit log.

Grandfathered prices. If your subscription is on an earlier published price, that price continues for as long as the subscription stays on the same billing interval and is not cancelled. Moving to a different interval, or cancelling and re-subscribing, moves it to the then-current price.

Price changes. We will give at least thirty (30) days' notice by email of any price change, effective at your next renewal. If you do not want the new price, you may cancel before it takes effect.

5. Payment, autopay and failed payments

Payment processing. Subscription payments are processed by Stripe, Inc. ("Stripe") under Stripe's own terms. By adding a payment method you authorise us and Stripe to charge it for the subscription, any additional websites, any services you order and applicable taxes, automatically on each renewal date (autopay) until you cancel. You confirm you are authorised to use the payment method.

Taxes. Prices exclude sales, use, value-added and similar taxes. You are responsible for any such taxes other than taxes on our net income.

Failed payments. If a payment fails, your room enters a 72-hour grace period, and everyone in the room sees a notice. If payment is not received before the grace period ends, the room is locked: users cannot sign in to use it, except that a room administrator may sign in to pay. Locked rooms keep their data for the retention period in section 18, and access is restored promptly when payment succeeds. Your public website may be taken offline while a room is locked. We may, at our discretion, extend a grace period.

Fees you owe. You remain responsible for all fees through the end of the period in which you cancel or are terminated, and for any amounts that were declined, reversed or disputed.

6. No refunds, no credits, no proration

ALL FEES ARE NON-REFUNDABLE. Because there is no long-term contract and every new room has a free 7-day trial to evaluate the Service before paying, we do not give refunds for any reason, and we give no credits or proration other than the credit for unused time described under Changing your plan, which applies only toward the new payment and is never paid out. Without limiting that, no refund, credit or proration is given for partial or unused periods, cancellation in the middle of a period, unused features, downtime, dissatisfaction, a change of mind, a room that is locked or suspended, or termination. This applies to subscription fees, additional website fees and setup or Concierge service fees once work has started, to the maximum extent permitted by law.

Cancelling stops future charges only. It does not return any amount already paid.

If a law that cannot be waived gives you a refund right, that right applies only to the extent the law requires and only for the period the law requires.

7. Chargebacks and payment disputes

Before you dispute a charge with your bank or card issuer, you agree to contact us at billing@callroompro.com and give us ten (10) days to resolve it. Because all fees are non-refundable and you may cancel at any time, a chargeback, dispute, reversal or payment denial for a charge that you authorised, or for any period of Service you had access to, is a breach of this Agreement.

If you start a dispute, you agree to cooperate with us in responding to it, including by promptly giving us (and consenting to our submitting to Stripe and the card networks) the evidence we ask for, such as this signed Agreement, the Certificate of Completion and audit trail, sign-in and usage records, your acceptance records and your communications with us. You authorise us to submit that evidence.

We may suspend or terminate the Service immediately while a dispute is open. You will pay, on demand, the disputed amount if it is reversed, our dispute and network fees, and all costs of collecting what you owe, including reasonable attorneys' fees, court costs and collection agency fees, to the extent permitted by law.

8. Acceptable use and prohibited conduct

You will use the Service only for lawful business purposes and in line with our Acceptable Use Policy. You will not, and will not allow anyone to:

(a) use the Service for anything unlawful, deceptive, fraudulent or abusive, or to harm, harass, threaten or defraud any person;

(b) place or send calls, texts, emails or other messages in violation of the Telephone Consumer Protection Act, the FTC Telemarketing Sales Rule, the National or any state Do Not Call list, state telemarketing and telephone solicitation laws, the CAN-SPAM Act or any similar law, or send unsolicited bulk messages (spam);

(c) make false, misleading or unsubstantiated advertising or sales claims, including about availability, prices, fees, results, affiliations or resorts, or hide material terms;

(d) post, create or publish fake, paid-for, incentivised-without-disclosure or otherwise inauthentic reviews or testimonials, or review dates that are not real;

(e) upload, publish or link to content that infringes anyone's rights, is defamatory, hateful, unlawful or harmful, or contains malware;

(f) store full payment card numbers, card security codes, bank passwords or government identification numbers in notes or any other field not designed for them;

(g) access another room's data, probe, scan or overload the Service, bypass security, limits or permissions, resell or share the Service or its logins outside your business, or use it to build a competing product;

(h) use the Service in a way that exposes us to legal, regulatory, card-network, banking or reputational risk.

9. Suspension and termination

We may suspend, restrict or terminate your room, your websites or your access to any part of the Service at any time, with or without notice, if we reasonably believe you have breached this Agreement or the Policies, if you do not pay, if a chargeback or dispute is opened, if a regulator, card network, bank or court asks us to, if your use creates risk or harm to us or others, or as the law requires. Where practical and safe we will try to give notice, but we are not required to.

No refund is due on suspension or on termination for breach, and you remain liable for all fees accrued.

You may stop using the Service and cancel at any time as described in section 4. We may also end the Service for any reason on thirty (30) days' notice, and we will not charge you for any period after the end date.

Reservation of rights. Our right to suspend, restrict or terminate is in addition to, and does not waive or limit, any other right or remedy we have. Suspending or restricting access is not a termination, does not pause or reduce your fees, and does not oblige us to restore access until the cause has been resolved to our reasonable satisfaction. We may take any step under this section against one room, one website, one user or your whole account, and may preserve or disclose records of the conduct that led to it. Our decision not to act on one occasion is not a waiver of the right to act on another.

10. You are solely responsible for your business

You are solely responsible, and CallRoom Pro has no responsibility, for each of the following, however it arises and whether or not you use a feature of the Service to do it:

(a) your leads, lead lists and customer records, where each one came from, and whether you have the legal right and every required consent to contact each person;

(b) compliance with the TCPA, the FTC Telemarketing Sales Rule, national and state Do Not Call rules, CAN-SPAM, state telemarketing, registration, bonding and calling-hour laws, and all laws on recording or monitoring calls, including getting every consent required before you record or monitor;

(c) the contracts, agreements, templates, emails and notices that you create, edit, send or have signed through the Service, their text, fees, cancellation and refund terms, and whether they are lawful and enforceable;

(d) the disclosures you give to people who sign your agreements, the wording of any consent or notice you ask them to accept, and any consent the law requires for electronic signatures or for the collection of signing information (including IP address, approximate location, device and browser details);

(e) the authenticity of every review and review date you publish, and having the customer's permission to use it;

(f) all content on your websites, the accuracy of your listings, resort and week details and prices, and your advertising and sales claims;

(g) refunds, cancellations, chargebacks, disputes and complaints from your own customers;

(h) your own merchant account and relationship with Authorize.net and any bank, ISO or reseller, and your compliance with the Payment Card Industry Data Security Standard and card-brand rules for cardholder data you collect;

(i) your licences, registrations, bonding, insurance and taxes, including any seller-of-travel, vacation-rental, timeshare-related or telemarketing licence or registration that applies to you; and

(j) the actions of everyone you invite to your room, including your employees, contractors and customers, and the security of their sign-in details.

11. Your warranties

You represent and warrant to us, on the Effective Date and every day you use the Service, that: (a) you are a business duly organised and in good standing, and the person who signed has full authority to bind you; (b) everything you told us when signing up, including your company name, signer, address and email, is true, complete and kept current; (c) you hold, and will keep, every licence, registration, bond, insurance policy, consent and permission that you need to run your business and to use the Service as you do; (d) you and your owners are not the subject of any sanctions list, court order or regulatory prohibition that would make it unlawful for us to serve you, and you have not previously been removed from a similar service for abuse or non-payment; (e) you will comply with all laws that apply to you and to your use of the Service; and (f) the content, leads, data and instructions you give us do not infringe or violate any right of, or law protecting, any person.

If any warranty is untrue, we may suspend or terminate under section 9 and you will indemnify us under section 21.

12. Your customers are not our customers

The people who buy from you, owners who list weeks with you, and the leads you contact are your customers and contacts, not ours. We have no contract, relationship or obligation to them, and they have no rights against us under this Agreement. You will make sure that your own agreements, notices and privacy policy tell them who they are dealing with, and that you do not state or imply that CallRoom Pro is a party to, guarantees or endorses any transaction.

Your client websites carry your brand, not ours. You will not describe CallRoom Pro as the seller, provider or guarantor of anything you sell.

13. We do not review your content

You acknowledge and agree that CallRoom Pro does not review, edit, approve, verify or endorse your leads, scripts, notes, calls, messages, contracts, templates, website pages, listings, prices, reviews, advertising or any other content, instruction or data that you or your users put into, create with, or publish through the Service ("Your Content"). The Service works automatically on what you give it. We have no duty to monitor Your Content or your use of the Service, and if we ever look at Your Content, for example while supporting you, that does not create a duty to review it, does not mean we have approved it, and does not shift any responsibility from you to us.

Our templates, sample wording, sample content and suggestions are examples only. You must check them and decide whether to use them. We may, but are not required to, remove or disable content or access that we believe breaches this Agreement or the law.

14. Your data

You own the data you and your customers put into the Service, including your leads, notes, deal records and website content ("Customer Data"). You grant us a limited licence to host, copy, process, transmit and display it only to run, secure, support and improve the Service and as the law requires, as described in the Data Processing Addendum.

You are responsible for the accuracy and lawfulness of Customer Data, for any notices and consents it requires, and for responding to requests from the people it is about. You will not put into the Service anything you do not have the right to use.

We may disclose Customer Data if we reasonably believe the law, a court, a regulator, a card network or a bank requires it, and to defend ourselves in a dispute with you.

Usage and device information about how the Service is used (not your leads' personal data) may be used by us to operate, secure and improve the Service.

15. Data protection roles

For personal information about your leads, customers, owners, employees and other people that you or your users put into the Service or that your websites collect ("Personal Data"), you are the controller (or the "business") and decide why and how it is used. We act as your processor (or "service provider") and process it only on your documented instructions, which are this Agreement, the Data Processing Addendum and your use of the Service, to provide, secure, support and improve the Service for you.

You are responsible for having a lawful basis and every notice and consent needed to give us the Personal Data and to have us process it, and for answering requests from the people it is about. We will help you respond to such requests as the Data Processing Addendum describes. You authorise us to use the sub-processors listed in the Data Processing Addendum (such as hosting, email delivery and payment providers) and to update that list with notice.

We act for ourselves, as the controller, for information about your account, billing, security, sign-in and abuse prevention, and for the signing and evidence records described in section 25.

16. Our access to your room and data

You authorise CallRoom Pro and the people working for us to access, view, copy and, where needed, change your room, your websites, your settings and Your Content, including Personal Data, to provide the Service, to give support and Concierge help, to set up or fix your room and websites, to investigate errors and security or abuse concerns, to enforce this Agreement, and as the law requires.

Platform administrator visits. A CallRoom Pro platform administrator may enter your room as a visitor to support or troubleshoot. Each visit is limited in time and is recorded in our own audit log.

Concierge and support requests. When you or your users send a Concierge or support request, our staff and engineers can read the request, its details, files and comments, and the parts of your room, website and data that are needed to understand and do the work, and may use a read-only view of that request information. You decide what to send. Do not put full card numbers, card security codes, passwords or other secrets in a request.

We may also access systems and records automatically, for example for hosting, backups, security monitoring, email delivery and billing.

17. Exporting your data

You can export your data at any time from the Export data page of your room, including after you cancel and until your data is deleted under section 18. Exports are provided in standard formats. We have no duty to keep your data after the retention period, and you are responsible for keeping your own copies.

18. Retention and deletion

While a room is locked for non-payment its data is preserved. After your subscription ends or you are terminated, we keep Customer Data for thirty (30) days so you can export it, then delete it from live systems. Backups roll off within a further fourteen (14) days. We may keep records we need to meet legal obligations, resolve disputes, prevent fraud and enforce this Agreement, including this signed Agreement, billing records and the signing audit records described in section 25, for as long as the law allows.

We are not liable for loss of data deleted in line with this section.

19. Security and no warranty

We use reasonable administrative, technical and physical safeguards described on our Security page. No system is perfectly secure, and we do not promise that the Service will be free from interruption, error, loss of data or unauthorised access.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do not guarantee any level of uptime or response time. We will use commercially reasonable efforts to keep the Service available and to fix problems, and we will schedule planned maintenance to limit disruption, but outages will happen and are not a basis for any refund or credit.

We do not warrant that any result, lead volume, sale, revenue, listing or evidence record will be achieved, accepted or admissible.

20. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SALES, LEADS, GOODWILL OR DATA, OR FOR THE COST OF SUBSTITUTE SERVICES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE, AND WHATEVER THE LEGAL THEORY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE FEES YOU ACTUALLY PAID US FOR THE SERVICE IN THE ONE (1) MONTH BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.

These limits apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law.

Any claim you have against us must be brought within one (1) year after it arose, or it is permanently barred, to the extent the law allows a shorter period.

21. Your indemnity

You will defend, indemnify and hold harmless Stephens Quantum LLC, CallRoom Pro, and their owners, members, managers, officers, employees, contractors, affiliates and successors (the "CallRoom Pro Parties") from and against any and all claims, demands, suits, investigations, regulatory and card-network actions, fines, penalties, assessments, settlements, judgments, losses, liabilities, damages and costs, including reasonable attorneys' fees, expert fees, court and collection costs and the costs of defending and responding to subpoenas and inquiries ("Claims"), brought by anyone (including your customers, leads, owners, employees, regulators, banks, merchant providers and card networks), arising out of or relating to:

(a) your leads, Customer Data and how you obtained, used and contacted them, including any claimed violation of the TCPA, do-not-call, CAN-SPAM, state telemarketing or call-recording laws;

(b) your sales practices, advertising, listings, websites, reviews, contracts, agreements, signer disclosures and consent wording, and your refunds, chargebacks, cancellations and disputes with your customers;

(c) your handling of payment card information, your merchant accounts and your compliance with PCI DSS and card-brand rules;

(d) your licensing, registration, tax and insurance obligations;

(e) content you post or send through the Service, including any claim that it infringes or violates anyone's rights;

(f) the acts or omissions of anyone you invite to or allow into your room or websites; and

(g) your breach of this Agreement, the Policies or applicable law.

We will tell you promptly about a Claim (a delay only reduces your duty to the extent you are harmed by it). You will control the defence with counsel reasonably acceptable to us, but we may take part with our own counsel at your cost where we reasonably believe there is a conflict of interest or the Claim may affect us beyond money. You will not settle a Claim in a way that admits fault by, imposes obligations on, or does not fully release any CallRoom Pro Party without our written consent. If you do not promptly assume the defence, we may defend the Claim and you will reimburse the costs as they are incurred. This section applies whether or not the Claim is also based in part on our alleged negligence, to the extent the law permits, but does not cover Claims to the extent caused by our own gross negligence or wilful misconduct.

22. Governing law and venue

This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Subject to section 23, you and we submit to the exclusive jurisdiction and venue of the state and federal courts located in Florida for any dispute, and waive any objection to that venue or to the convenience of that forum.

23. Arbitration of disputes

Except for claims for injunctive or equitable relief to protect intellectual property or confidential information, and for claims by us to collect fees you owe, any dispute between you and us that we cannot resolve informally within thirty (30) days after one of us sends written notice to the other will be finally resolved by binding arbitration, on an individual basis, administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in a location in Florida (or by video conference if both parties agree). Judgment on the award may be entered in any court with jurisdiction. Each party bears its own costs and attorneys' fees, except as this Agreement or the law gives the prevailing party a right to recover them, and except that fees owed under section 7 remain recoverable.

You or we may bring an individual claim in small-claims court instead, if it qualifies.

24. Jury trial and class-action waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE.

ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION. THE ARBITRATOR OR COURT MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. If this paragraph is found unenforceable as to a claim, that claim will be heard in court, not arbitration, and the jury waiver above still applies.

25. Electronic signature, records and what we record

You agree to sign and receive this Agreement, and all notices under it, electronically. You agree that your typed name, drawn or typed signature and ticked boxes are your legally binding signature and acceptance, with the same effect as a handwritten signature, under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act as adopted in Florida, and similar laws. You may ask for a paper copy at no charge, and you may withdraw consent to electronic records only by terminating the Service. You need a device with a modern web browser and email to access the records.

To create reliable evidence that you signed, and to help us respond to disputes and chargebacks, when you sign we record and keep: the date and time (UTC) of each step; your IP address and the approximate location it points to (city and region level, not a street address); your browser, operating system, device type, screen size, time zone and language and a device fingerprint; how far you scrolled and how long you viewed each section; the time you ticked each box; the wording that was shown; a SHA-256 fingerprint of the exact agreement text when it was displayed and when you signed; your signature and its stroke timing; and the Stripe customer and session identifiers once you add a payment method. We do not use text messages, photo identification, selfies or one-time codes.

You consent to that collection and to our use and disclosure of it for the purposes above, to our payment processor and card networks in a dispute, and as the law requires. We will email a copy of the signed Agreement to the email address you gave, and you can download it later from your room's Billing page.

Evidence authorisation. You authorise us to create, keep and use these records, and the signing records that your own contracts create when your customers sign through your websites, as evidence in any dispute, chargeback, audit, investigation or legal proceeding involving you, us, your customers or your payment processors, and to give them to Stripe, card networks, banks, merchant providers, regulators, courts and our advisers. You are responsible for telling the people who sign your contracts what is recorded, as section 10 says.

26. Concierge, setup and other services

If you order setup, migration, website build, Concierge or other help ("Services Work"), we will agree the scope and price with you first, in writing or by email, and nothing is charged until you agree. Priority and Concierge support tiers, and any response times we quote, are goals and not guarantees. Services Work fees are due as agreed, are non-refundable once work has started, and are not part of the subscription. You will give us the information, access and decisions we need on time, you remain responsible for approving and checking everything we do for you, and you authorise us to make the agreed changes in your room and websites.

Services Work is done for you as the Client. It does not create any relationship between us and your customers, and sections 10, 13 and 21 apply to it.

27. Confidentiality

Each party will use the other's non-public business, technical and pricing information that is marked or reasonably understood to be confidential ("Confidential Information") only to perform or use the Service, will protect it with at least reasonable care, and will not disclose it except to people who need to know it and are bound to protect it, or as the law requires (after notice where lawful). Confidential Information does not include information that is public through no fault of the recipient, already known to it, independently developed, or lawfully received from someone else. Customer Data is governed by section 14.

28. Intellectual property, licence and feedback

We and our licensors own all rights in the Service, its software, designs, templates, documentation and our names and logos. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription for your internal business and to run your websites, under this Agreement. You may not copy, modify, reverse engineer, decompile or create derivative works of the Service, or remove notices, except as the law allows.

You keep all rights in your Customer Data, your brand names, logos and website content, and you grant us a licence to host and display them to operate the Service for you.

If you give us suggestions or feedback, we may use them freely without payment or obligation.

29. Third-party services

The Service works with services run by others, such as Stripe, Authorize.net and your merchant provider, email delivery providers, hosting and domain providers, and your own telephone provider. Those services are governed by their own terms and are outside our control. We are not responsible for their availability, fees, errors, security or actions, or for any loss arising from your use of them or from changes they make.

30. Events beyond our control

We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, fire, flood, war, terrorism, civil unrest, pandemic, government action, labour disputes, power, internet, telecommunications, cloud-hosting or payment-network failures, or attacks by third parties. Our obligations are suspended for as long as the event continues. Your obligation to pay is not suspended.

31. Assignment, notices and general terms

Assignment. You may not assign or transfer this Agreement, by operation of law or otherwise, without our written consent. We may assign it to an affiliate or to a successor to our business.

Notices. We may give you notice by email to the address you gave at signup or to any room administrator, by posting in your room, or by posting on callroompro.com. Notice to us must be emailed to legal@callroompro.com. Email notices are effective when sent. You are responsible for keeping your email address current.

Relationship. We are independent contractors. Nothing creates a partnership, joint venture, agency or employment. There are no third-party beneficiaries other than the CallRoom Pro Parties.

Waiver and remedies. A failure to enforce a right is not a waiver. Our rights and remedies are cumulative.

Counterparts and copies. An electronically stored copy of this Agreement and its signing records is an original and is admissible as evidence to the same extent as a paper original.

32. Changes to this Agreement

We may update this Agreement and the Policies. For material changes we will notify room administrators by email or in your room at least thirty (30) days before they take effect, and we may ask a room administrator to accept the new version by signing in and accepting it. If you do not agree, you may cancel before the change takes effect. If you keep using the Service after the effective date, or accept the new version, you agree to it. Non-material changes, such as corrections and clarifications, take effect when posted.

33. Entire agreement

This Agreement, with the Policies and any order or service scope we both agree in writing, is the entire agreement between you and us about the Service and replaces all earlier discussions, proposals and understandings. Statements by sales or support people, marketing material and any terms in your own documents do not change it. Only a written amendment made under section 32 or signed by both of us can change it.

34. No reliance

You confirm that you are signing this Agreement based only on what it says. You are not relying on any statement, promise, demonstration, projection, example, screenshot, testimonial, comparison, roadmap, sample data or marketing material, whether written, spoken or shown, that is not written in this Agreement. The live demo and sample content use made-up data. Features, screens and prices described elsewhere may change. You have had the chance to read this Agreement, to ask questions, and to take your own legal and business advice before signing.

35. Severability and construction

If a provision is found invalid or unenforceable, it will be enforced to the maximum extent allowed and the rest of this Agreement stays in effect. Headings are for convenience only. "Including" means "including without limitation". This Agreement is not construed against either party as its drafter.

36. Survival

Expiry, cancellation, suspension or termination of the Service does not affect rights or obligations that have accrued or that by their nature are meant to continue. Without limiting that, the following sections survive: those on fees and payment, no refunds, chargebacks and disputes, your responsibility for your business, your warranties, our not reviewing your content, data and retention, no warranty and limitation of liability, your indemnity, governing law and venue, arbitration, jury and class waivers, electronic records and evidence, confidentiality, intellectual property, no reliance, and this section, together with any provision that says it survives.
